Accenture Primary and Secondary Offering Priced at $21.00 Per Share

NEW YORK; Sept. 23, 2003 Accenture (NYSE: ACN) today announced that its primary and secondary offering of 82 million Class A common shares has been priced at $21.00 per share.

An underwriting syndicate led by Morgan Stanley is offering Accenture’s shares. The co-managers for the offering are JPMorgan; Credit Suisse First Boston; UBS Investment Bank; Banc of America Securities LLC; Citigroup; Deutsche Bank Securities; Merrill Lynch & Co.; Goldman, Sachs & Co.; SG Cowen; Wachovia Securities; Lehman Brothers; Needham & Company, Inc.; SoundView Technology Group; Bear, Stearns & Co. Inc.; ABN AMRO Rothschild LLC; Cazenove; Robert W. Baird & Co.; Legg Mason Wood Walker Incorporated; Scotia Capital; and Pacific Growth Equities, LLC. The underwriters have an option to purchase up to an additional 12.3 million Class A common shares to cover overallotments. Any proceeds received by Accenture from the exercise of this option will be used to acquire or redeem additional Class A common shares, Accenture SCA Class I common shares and Accenture Canada Holdings Inc. exchangeable shares.

Accenture intends to use the proceeds from its sale of newly issued shares to acquire or redeem a comparable number of Accenture SCA Class I common shares and Accenture Canada Holdings Inc. exchangeable shares held by current partners, former partners, and their permitted transferees promptly following the offering. Accenture does not intend to retain any proceeds raised through the offering for operating purposes, and the offering is not intended to increase the number of fully diluted shares outstanding.
