Accenture Announces Public Offering of Common Shares

NEW YORK; Sept. 17, 2003 Accenture (NYSE: ACN) today announced that, as part of its previously announced share management program, it intends to move forward with a public offering of 82.0 million of its Class A common shares. Accenture will offer approximately 57.3 million newly issued shares in the offering, and certain Accenture partners, former partners, and their permitted transferees will offer approximately 24.7 million shares.

Accenture intends to use the proceeds from its sale of newly issued shares to acquire or redeem a comparable number of Accenture SCA Class I common shares and Accenture Canada Holdings exchangeable shares held by current partners, former partners, and their permitted transferees promptly after the conclusion of the offering. Accenture does not intend to retain any proceeds it raises through the offering for operating purposes, and the offering is not intended to increase the number of fully diluted shares outstanding.

Accenture has granted to the underwriters an option for a period of 30 days to purchase from Accenture up to an aggregate of 12.3 million Class A common shares to cover overallotments, if any. Any proceeds received by Accenture from the exercise of this option will be used to acquire or redeem additional Class A common shares, Accenture SCA Class I common shares and Accenture Canada Holdings exchangeable shares.
